Why are sportshield "looking for investment" in that case? Why are Blumarble considering an offer to repay the loan?
Ken claimed he owned a % of the club previously that was refuted by DH and the last auditors couldn't unravel it. So these claims of what is owned by who, come off to me as potentially dubious. They are not reflected in any filings on companies house either - I just checked.

So is that 30% of Sports Shield's 37.5%, ie 11.25%, while SS still holds 26.25% of the whole? Or does he mean (and has attempted to say, ungrammatically) that SS now only has 7.5% and he has his original 57.5% plus another 30% (from the majority of SS's shares) = 87.5%? (And who owns the other 5% - minority shareholders? Inner Circle Investments recently acquired circa 30% of Sports Shield with a view to assisting in resolving their current issues with BluMarble.

I think what he means (or claims) is that inner circle own 57.5% of the club. I'm assuming here, that having 30% of SS means he doesn't have a controlling stake so can't claim control of 30% of the SS shares in the club (ie he cannot add another 30% on top)....unless of course SS sold the shares...where he'd be entitled to 30% of their value....

So this was the picture of our ownership as of October last year. Things have obviously changed a bit since then, what with Ken (i.e. Inner Circle Investments) agreeing to buy some (presumably newly created shares) in Sports Shield BWFC Limited, but should help to clarify the position - including, importantly, that BluMarble do not own or control any shares in the club.
If it's not clear I'll try to put together an electronic version that shows up a bit better. This was the best I could manage at my desk over my lunch break.

That's a pretty good representation of the share ownership. So as long as we service all the debts, that holds good. But then there's owning the shares and there's having a claim over the assets - without the assets the shares ain't worth much. There's also the on-going dispute (despite what the shareholdings suggest) whether the split was 47% each between Inner Circle and SSBWFC or 57/37 in favour of IC. Fildraw can still "earn" up to £15m based on performance payments and a number of parties are attached to various Intercreditor Deeds and the like (of which BluMarble are one), so should it all go a bit skew-whiff, we've no real notion who would actually be in control of the lions share of the assets.

Depends what the source of the money is I guess. They were always going to be overdue this year - they only announced changing auditors a couple of months ago, and for the new firm (smallish local outfit) to turn round the audit fieldwork that is required, plus to get comfortable over all the legal and other issues which led to Deloitte resigning, will take some time.
Accounts deadlines can be missed without penalty in exceptional circumstances - I suspect the club has written to Companies House asking for an extension blaming the change in auditors, so everything is probably OK (although Co House will still show overdue). Plus, in any case, the fine for filing late is in the £100's, not £1000's, so its no biggie financially to be late.
Biggest risk for us is that late accounts could = no emargo lifting though....
