In any business acquisition there's a point when, in what is called "due diligence" where the Company looking to purchase a business gain to right to access detailed information of certain types.mummywhycantieatcrayons wrote:Montreal Wanderer wrote:Not sure I can help.Dave Sutton's barnet wrote:cowdrill wrote:Former West Ham chief executive Paul Aldridge could take legal action following the club's £5.5m fine for breaching transfer regulations.
Firstly, I have no idea what Aldridge thinks might be the basis for his legal action.
Secondly, I suppose West Ham's owners could sue the previous owners if the contract of sale had a provision saying that the previous owners guaranteed that they weren't passing on any undisclosed financial liabilities.
The entire series events raises interesting questions about what punishment it is appropriate to hand out to the current owners of a business for the wrongdoing of previous owners.
The seller is obliged to provide some information fully & freely. It's also obliged to answer some questions - IF ASKED. It is NOT obliged to give information in certain aspects if the buyer doesn't ask.
So, the big arguements come around ; -
Did you ask ?
Were you obliged to respond ?
Was it fully & truthfully answered ?
There's oodles of fun, time ... & money, for the lawyers to get into there !!
They WILL have had the right to access employees contracts & any particular terms affected by these. If WHU 's owners didn't supply then they are responsible. If they did, but it wasn't spotted they are not obliged to point out the issues. If it was spotted & not understood, or believed that it wasn't important ... or they could be got away with ... that's the buyers responsibility.
Not advocating mass-murder as an entirely positive experience, of course, but it had its moments.

It gets better
Terence Brown is reportedly set to launch legal action against West Ham's new owners after they ripped up his contract in the wake of last week's £5.5m League fine.
Brown - who, as part of the deal to sell the club was set to remain on his existing contract until 2009 - has been told that he will get not a penny more from the club as they seek to retrieve some of the massive fine imposed upon them by the League last Friday.
The former Hammers Chairman - who was already a hated figure for many supporters due to his bungled handling of the club during his 14-year tenure - personally walked away with over £30m from the sale of West Ham United last November.
Yet he is apparently determined to sue the new Icelandic owners for his remaining two years' contract thought to be worth around £2m plus benefits including seats in the directors box for both home and away games.
New Chairman Eggert Magnusson threw Brown out of the club back in January when the extent of the problems involving the Mascherano and Tevez transfer were revealed, and he has since had his contract terminated.

Lawro appears to share our views regarding the WHam penalty.
He also said:You can guarantee that Bolton will always fight for the points, wherever they play. It is not in their nature to roll over. It is Sammy Lee's first game in charge so that adds extra incentive for the players - and of course, Bolton are still pushing for a Uefa Cup place.
I know West Ham had a really good win at Wigan last time out but I feel it's probably too little, too late. I also feel that they should have been docked points over the signings of Javier Mascherano and Carlos Tevez and I wonder if relegation might be their inescapable fate.
Perhaps that would be a little bit of karma in action, although it's not West Ham's fault they haven't been docked points - it is because the Premier League has made a nonsensical decision.
No mention of Bolton there. And after the game, I felt he was wrong to say Chelsea were the better team. I actually felt Chelsea, with all their long-ball play, resembled the old Wimbledon team.

No it hasn't!
We are were in the table? SPAM are were in the table?
They spent how much on players?
They have to cheat in order to even survive in the Premiership.
It's much more satifying to have them get relegated on the final day.
West Ham are still cheating, underhanded, failures, and I'm still laughing at them! More then ever!

I admire your stance on the topic Tom, I really do.Tombwfc wrote:If you're going to take part in threads like this, you've got to be magnamimous in defeat. We we're beaten by the better side today comfortably.

However you're wrong. Tomorrow we'll be magnamimous in defeat, sure. However tonight we'll feel sorry for ourselves and bitch and cry like a freshly dumped woman.

A few more clubs looking at legal action against the Shammers

I really hope this happens, both to punish the FA and an utterly corrupt football club.
